Welcome to apiledger, a personal dashboard for tracking API usage, costs, and budget across multiple providers. By accessing or using our service, you agree to these Terms of Service ("ToS"). If you do not agree, do not use the service.

1. Acceptance of Terms

By accessing and using apiledger, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

These terms constitute a legally binding agreement between you and apiledger. Your continued use of our services indicates your acceptance of any modifications to these terms.

2. Description of Service

Apiledger is a personal dashboard service that enables users to track API usage, costs, and budgets across multiple third-party API providers including but not limited to OpenAI, Anthropic, Google Cloud Platform, and other supported services.

Our service provides monitoring, analytics, budget tracking, and alerting features to help users manage their API consumption and costs. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

The service is provided "as is" and we make no warranties regarding the availability, reliability, or suitability of our services for any particular purpose.

3. Eligibility and Registration

You must be at least 18 years old to use apiledger. By creating an account, you represent that you meet this age requirement and have the legal authority to enter into this agreement.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating your account and keep this information updated.

You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

4. API Keys and Third-Party Credentials

To use apiledger's monitoring features, you must provide API keys and credentials for third-party services. You are solely responsible for the security and proper configuration of these credentials.

We strongly recommend using read-only API keys with minimal required permissions. You acknowledge that apiledger will use these credentials to retrieve usage and billing information from your connected API providers.

While we implement industry-standard security practices to protect stored credentials, you remain fully responsible for any charges, usage, or activities associated with your API accounts. Apiledger is not liable for costs incurred due to compromised credentials or unauthorized usage.

You may revoke or update your API credentials at any time through your account settings. Removing credentials will disable monitoring for the associated services.

5. User Conduct and Responsibilities

You agree to use apiledger only for lawful purposes and in accordance with these Terms. You are prohibited from:

  • • Attempting to gain unauthorized access to our systems or other users' accounts
  • • Reverse engineering, decompiling, or attempting to extract source code
  • • Using the service to violate any applicable laws or regulations
  • • Interfering with or disrupting the service or servers
  • • Sharing account credentials with unauthorized parties
  • • Using the service for any commercial purpose without explicit permission

You are responsible for ensuring that your use of connected API services complies with their respective terms of service and usage policies.

6. Budget Alerts and Monitoring Disclaimer

IMPORTANT: All budget alerts, spending notifications, and monitoring features are provided on a best-effort basis only. Apiledger does not guarantee the accuracy, timeliness, or delivery of any alerts or notifications.

You remain fully responsible for monitoring and controlling your API usage and associated costs. Apiledger cannot prevent overspending and is not liable for any charges incurred on your third-party API accounts, regardless of whether alerts were triggered or delivered.

Data displayed in apiledger may be delayed due to API limitations, caching, or other technical factors. Always refer to your official API provider billing dashboards for authoritative usage and cost information.

7. Payment Terms and Billing

Subscription fees for apiledger are charged in advance for each billing period. All payments are final and non-refundable, except as required by applicable law.

If payment fails, your account may be suspended until payment is resolved. You are responsible for maintaining current payment information and ensuring successful billing.

Deleting your account immediately terminates your subscription with no refund for any unused portion of the billing period.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We implement industry-standard security measures to protect your API credentials and usage data. However, no method of transmission or storage is 100% secure, and you acknowledge the inherent risks of providing sensitive credentials.

You retain ownership of your data and may request deletion of your account and associated data at any time through your account settings.

9. Third-Party Services Integration

Apiledger integrates with third-party API providers including OpenAI, Anthropic, Google Cloud Platform, and others. These integrations are subject to the availability and functionality of these external services.

We are not responsible for errors, downtime, API changes, policy modifications, or other issues caused by third-party providers. Changes to third-party APIs may affect the functionality of apiledger without notice.

You must comply with the terms of service and usage policies of all connected API providers. Violations of third-party terms may result in suspension of your apiledger account.

10. Intellectual Property Rights

The apiledger service, including its software, website, design, logos, and content, is owned by the operator and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the service in accordance with these Terms.

You retain ownership of your data, including API usage information and account settings. By using our service, you grant us the necessary rights to process and display this data for the purposes of providing the service.

You may not copy, modify, distribute, or create derivative works based on apiledger without explicit written permission.

11. Service Availability and Modifications

We strive to maintain high service availability but cannot guarantee uninterrupted access to apiledger. The service may be temporarily unavailable due to maintenance, updates, or technical issues.

We reserve the right to modify, update, or discontinue any features or aspects of the service at any time without prior notice. Such changes may affect the functionality available to your account.

We will make reasonable efforts to notify users of significant changes that materially affect service functionality, but are not obligated to provide advance notice for all modifications.

12. Termination and Suspension

You may terminate your account at any time by deleting it through your account settings. Account deletion is immediate and permanent, and will result in the loss of all associated data and immediate termination of any active subscription without refund.

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or use the service in a manner that could harm other users or our systems.

Upon termination, your right to use apiledger ceases immediately, and we may delete your account data in accordance with our data retention policies.

13. Disclaimers and Limitations of Liability

DISCLAIMER: Apiledger is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

LIMITATION OF LIABILITY: To the maximum extent permitted by law, apiledger and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or API costs, arising from your use of or inability to use the service.

Our total liability for any claim arising from or relating to these Terms or the service shall not exceed the amount you paid for the service in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of these limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless apiledger and its operator from any claims, damages, losses, costs, or expenses (including reasonable attorney fees) arising from:

  • • Your use of the service or violation of these Terms
  • • Your violation of any third-party rights or applicable laws
  • • Any charges or costs incurred on your connected API accounts
  • • Unauthorized use of your account credentials
  • • Any content or data you provide to the service

This indemnification obligation survives termination of your account and these Terms.

15. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of Finland, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in court for intellectual property violations.

Before initiating formal dispute resolution, the parties agree to attempt good faith negotiations to resolve any disagreements.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this document and may notify users through the service or by email.

Material changes will be effective 30 days after posting, unless we determine that immediate effectiveness is necessary for legal compliance or security reasons.

Your continued use of apiledger after changes become effective constitutes acceptance of the modified Terms. If you do not agree to changes, you must discontinue use of the service.
